Terms of Service

1. Introduction and Acceptance

Welcome to the products and services of Next Step Dynamics AB ("NSD," "we," "our"), including:

• nCare – Municipal elderly care management platform (B2B SaaS)
• LevFria – Consumer wellness and fall-risk assessment app (B2C)
• Related websites, APIs, and customer support

By accessing or using any NSD service, you ("User," "you," "Customer," or "your") agree to be legally bound by these General Terms of Service ("Terms"). If you do not agree, you may not use our services.

2. Governing Law and Jurisdiction

• Governing Law: Exclusively Swedish law, without regard to conflict-of-law principles
• Disputes:
  1. First resolved through good-faith negotiation (30-day period)
  2. Then escalated to arbitration or Swedish courts if negotiation fails
  3. Venue: Stockholm District Court (Stockholms Tingsrätt) has exclusive jurisdiction

3. Limitation of Liability

3.1 General Disclaimers

All NSD services are provided "as is" and "as available" without warranties. We disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Accuracy of information or recommendations
• Non-infringement of third-party rights
• Uninterrupted, error-free, or secure service

3.2 NSD's Liability Cap

To the maximum extent permitted by Swedish law, Next Step Dynamics AB's total liability to you for any claim, loss, or damage shall be limited to the greater of:

1. 500 SEK (approximately €50 USD), OR
2. The total amount you have paid NSD in the past 12 months

This cap applies to:

• Direct damages
• Indirect damages (loss of profit, revenue, business opportunity)
• Consequential damages (special, punitive)
• All legal theories (contract, tort, strict liability, etc.)

3.3 Exceptions to Liability Cap

The liability cap does not apply to:

• Gross negligence or intentional misconduct by NSD
• Violations of law that cannot be limited by contract
• Death or personal injury claims
• Data breaches caused by NSD's failure to implement reasonable security

3.4 NSD Is Not Liable For

NSD shall not be liable for:

• Health outcomes: Injury, falls, illness, or worsening of health resulting from use of LevFria or any NSD service
• Care decisions: Care planning or treatment decisions made based on nCare or LevFria assessments
• Data loss: Loss, corruption, or inaccessibility of data (except due to NSD gross negligence)
• Third-party content: Links, external resources, ads, or integrations
• Service interruptions: Downtime, bugs, or unavailability
• Unauthorized access: Hacking, breach of account credentials (except where NSD failed to implement reasonable security)

4. Indemnification

You agree to indemnify, defend, and hold harmless Next Step Dynamics AB, its officers, employees, directors, and agents from any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your violation of applicable laws
• Your misuse of NSD services
• Your health decisions or actions taken based on information from NSD services
• Your infringement of third-party intellectual property rights

5. User Accounts and Eligibility

5.1 Eligibility Requirements

LevFria Users:

• Must be at least 16 years old (or age of digital consent in your jurisdiction)
• Primary health assessment features are designed for users 65+ or caregivers

nCare Users:

• Must be representatives of a municipal organization, healthcare facility, or authorized care provider
• Must have explicit authorization from your organization
• Must provide truthful information about your role and organization

5.2 Account Registration and Responsibilities

When you create an account, you agree to:

• Provide truthful, accurate, and complete information
• Keep your login credentials confidential
• Use a strong password and change it regularly
• Enable multi-factor authentication (MFA) if available
• Notify NSD immediately of unauthorized access or security concerns
• Not share your account with unauthorized persons
• Be responsible for all activities under your account

5.3 Account Termination

You may delete your account:

• LevFria: Anytime via app settings or by emailing dataprotection@nextstepdynamics.com
• nCare: Contact your nCare administrator or NSD support

Upon deletion, personal data is marked for deletion per the Privacy Policy.

6. Acceptable Use Policy

You agree not to use NSD services for:

6.1 Illegal and Harmful Activities

• Illegal activity under Swedish law or your jurisdiction
• Harm to others: Activities intended to injure, harm, harass, or endanger
• Abuse: Bullying, harassment, hate speech, threats, discriminatory content
• Fraud: Deception, impersonation, identity theft, financial scams

6.2 Security and Technical Misuse

• Unauthorized access: Hacking, cracking, bypassing security
• Malware: Uploading or distributing viruses, ransomware, spyware, malicious code
• DoS/DDoS attacks
• Scrapers & bots: Automated scraping, reverse engineering, circumventing restrictions

6.3 Intellectual Property and Commercial Misuse

• IP infringement: Reproducing, distributing, or exploiting NSD content without permission
• Commercial exploitation: Selling, licensing, reselling, or redistributing NSD services
• Competitive services: Building competing products using NSD technology or data
• Trademark misuse: Unauthorized use of NSD trademarks or logos

Consequences of Violation:

• Immediate account suspension
• Removal or blocking of violating content
• Disclosure of data to authorities (if illegal activity)
• Civil and criminal liability

7. Intellectual Property Rights

7.1 NSD Ownership

All content, design, software, code, graphics, logos, icons, images, and materials on NSD services ("Content") are owned by or licensed to Next Step Dynamics AB and protected by Swedish and international laws.

Protected elements include:

• Platform UI/UX design
• Source code and algorithms
• Health assessment questionnaires
• Documentation, guides, tutorials
• Trademarks: "nCare," "LevFria," "Next Step Dynamics," and related logos

7.2 Limited License to Users

We grant you a personal, non-exclusive, revocable, non-transferable license to:

• Access NSD services for your personal use (LevFria) or organizational use (nCare)
• View, read, and interact with Content

You may not:

• Reproduce, duplicate, or copy Content for profit
• Distribute or republish Content without written permission
• Create derivative works or adaptations
• Reverse-engineer, decompile, or disassemble software
• Sell, rent, lease, or exploit NSD services

8. Health and Wellness Services

8.1 No Medical Advice

LevFria and nCare are not:

• Medical devices
• Healthcare providers
• Sources of medical diagnosis or treatment
• Substitutes for professional medical advice

8.2 Consult Healthcare Professionals

If you have health concerns, fall risk factors, or pre-existing conditions:

• Consult a licensed physician, physiotherapist, occupational therapist, or other provider
• Inform your provider about insights from LevFria/nCare
• Seek emergency care immediately for acute issues (call 112 in Sweden)
• Do not delay professional care while using NSD services

8.3 Assumption of Risk

You acknowledge that:

1. NSD information is for educational and wellness purposes only
2. LevFria assessments are estimates, not clinical diagnoses
3. nCare assessments support care planning but do not replace professional judgment
4. Health outcomes depend on many factors beyond NSD services
5. You assume all health risks associated with using NSD services
6. You will not hold NSD liable for health-related outcomes or decisions

9. Service Modifications and Discontinuation

NSD may modify, update, suspend, or discontinue features of LevFria or nCare:

• Non-material changes: May be made without notice
• Material changes: Typically notified via email or in-app 30 days before

10. Third-Party Links and Services

NSD services may contain external links, embedded content, third-party integrations, ads, or sponsored content.

NSD is not responsible for:

• Content accuracy or legality of external sites
• Privacy practices or data handling by third parties
• Availability or functionality of third-party services
• Loss or damage from using third-party services

11. Updates to Terms

We may update these Terms to reflect:

• Changes in law or regulatory requirements
• Changes in services or features
• Improvements to legal clarity

When We Update:

• New version posted with updated "Last Updated" date
• Material changes notified via email or in-app
• Major changes may require explicit consent

Continued use constitutes acceptance.
